Confidentiality agreement

1. Purpose

The parties may share information needed to integrate Taxi Copilot with the Customer's telephony, dispatch system, or other systems, and to evaluate and provide the Service. That information may be used only for this purpose.

2. Confidential information

Confidential information means any information disclosed by one party to the other in connection with the purpose in Section 1, in any form, including in particular:

• access credentials and configuration: logins, passwords, API keys, tokens, SIP numbers, PBX credentials, trunks, call-forwarding rules, call-flow diagrams;
• the Customer's technical infrastructure: telephony architecture, dispatch system, networks, server addresses, integration documentation;
• operational and commercial data: tariffs, volumes, fleet, customers, costs, offers;
• on Tiskel's side: non-public parts of Taxi Copilot, individual pricing, internal documentation, test accounts, and credentials to Tiskel environments.

Information that is publicly available on taxicopilot.com without a breach of this agreement is not confidential information.

3. Who may receive it and how

The receiving party may use confidential information only for the purpose in Section 1. It may disclose it only to:

• its own employees and regular contractors on a need-to-know basis, if they are bound by confidentiality;
• subcontractors and advisers bound by confidentiality, if they need the information for the purpose in Section 1;
• authorities and courts where required by law, to the extent necessary, after prior notice to the other party if legally permitted.

A breach includes disclosure to an unauthorised person, use outside the purpose in Section 1, sharing passwords or keys, and leaving access in place after it is no longer needed.

4. Protection

The receiving party protects confidential information with due care and notifies the other party of a breach without undue delay after becoming aware of it.

5. Duration and return

The confidentiality duty lasts for as long as the receiving party holds the confidential information.

On request of the disclosing party, the receiving party will return or delete the confidential information, including credentials. Backup copies are deleted on their retention cycle. When the need for access ends, Tiskel disables any PBX/SIP access received from the Customer.

6. Final provisions

This agreement does not oblige either party to enter into a cooperation agreement or to disclose any information. It does not transfer rights in information or software. The limitations of liability in the Terms also apply to this agreement to the extent permitted by law.
