Terms of service

These Terms govern access to and use of Taxi Copilot, an AI assistant service for taxi companies, provided by Tiskel sp. z o.o. By using the Service, the Customer accepts these Terms.

1. Introduction and acceptance

The Service is intended for businesses and sole traders. The person accepting these Terms confirms that they are authorised to bind the Customer.

These Terms apply together with our Privacy Policy and any individual order form or written commercial agreement agreed with the Customer.

2. Service description

Taxi Copilot helps taxi companies handle calls, WhatsApp and Messenger conversations, and taxi bookings using AI. Available features depend on the Customer plan and enabled integrations.

The Customer is responsible for its taxi services, pricing, dispatch rules, service areas, and information provided to Taxi Copilot.

3. Account and Customer responsibilities

The Customer must provide accurate account, billing, and configuration information and keep it up to date.

The Customer is responsible for account users, credentials, AI configuration, booking rules, and all instructions given through the Service.

The Customer must comply with applicable law and must not use the Service for spam, unlawful content, fraud, harassment, or misuse of communication channels.

4. Third-party platforms

The Service relies on third-party platforms, including Meta Platforms (WhatsApp Business Platform and Messenger Platform), LLM providers (OpenAI, Anthropic, Google), OVHcloud, and dispatch system integrations.

When using WhatsApp or Messenger features, the Customer must comply with Meta Platform Terms, WhatsApp Business Solution Terms, and WhatsApp Business Messaging Policy. Changes, limits, or suspensions by third-party platforms are outside Tiskel control and may affect the Service.

5. Data protection roles

For passenger and booking data processed through the Service, the Customer acts as the data controller and Tiskel acts as the processor. This includes calls, recordings, transcripts, WhatsApp and Messenger messages, phone numbers, pickup and drop-off addresses, and booking details.

Tiskel acts as an independent controller for data processed for its own business purposes, including Customer accounts, billing, contracts, support, website forms, newsletter, analytics, and security logs.

The Customer is responsible for informing passengers and other end users that it may use Taxi Copilot and AI-based tools to handle calls, messages, and taxi bookings, and for ensuring a valid legal basis for such processing.

Tiskel will reasonably assist the Customer in responding to end user data protection requests related to data processed through the Service.

6. Pricing and payment

Fees are set out on the pricing page or in an individual order form. Unless stated otherwise, fees are net of VAT and payable within 14 days from invoice date.

Late payment may result in suspension of the Service after notice.

7. Acceptable use

The Customer must not use the Service to send spam, unlawful content, misleading messages, or content that violates third-party platform policies.

The Customer must not reverse-engineer the Service, bypass limits or security measures, or resell the Service without written consent.

8. Availability and changes to the Service

We use commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted operation. Outages may occur due to maintenance, failures, third-party platforms, or force majeure.

We may update the Service and these Terms. For material changes, we will notify active Customers by email with reasonable notice where practicable.

9. Intellectual property and Customer data

Tiskel owns the Service, software, documentation, and branding. The Customer receives a limited right to use the Service during the term of the agreement.

The Customer retains rights to Customer Data. Tiskel may process Customer Data only to provide the Service, comply with law, and protect the Service.

10. Liability

To the maximum extent permitted by law, Tiskel total liability arising out of or in connection with the Service is limited to EUR 500.

Tiskel is not liable for indirect damages, lost profits, lost revenue, lost bookings, loss of goodwill, or third-party platform failures. Nothing excludes liability that cannot be excluded under applicable law.

11. Termination, governing law, and contact

Either party may terminate the Service with 30 days written notice, unless agreed otherwise. Tiskel may suspend or terminate access immediately in case of serious breach, unlawful use, security risk, or non-payment.

These Terms are governed by Polish law. Disputes will be handled by the courts competent for the registered seat of Tiskel sp. z o.o. in Poland.
